This Photographer Platform Agreement ("Agreement") is between you ("Photographer," "you," "your") and Kind Reaper Development LLC, a Michigan limited liability company ("ShotCart," "we," "us," "our"), the operator of the ShotCart platform at shotcart.app and shotc.art (the "Service"). By creating a photographer account on the Service, you accept this Agreement.
ShotCart is a marketplace platform. You are an independent operator, not an employee, agent, partner, or joint-venturer of ShotCart. Photographs you upload and the photography services you provide to your customers are sold by you, not by ShotCart. ShotCart provides the software, the payment rails (through Stripe Connect), and the digital delivery — you do everything else.
1. Eligibility
- You are at least 18 years old.
- You are legally able to operate a photography business in your jurisdiction.
- At launch, the Service is available only to photographers located in the United States. Signup is geographically restricted; international expansion is planned and will be announced separately.
- You will pass Stripe Connect onboarding (identity, business, and banking verification) before you can accept payments through the Service.
2. Your Account
You are responsible for the security of your account credentials and for every action taken under your account. Notify us immediately at appsupport@shotc.art if you believe your account has been compromised.
3. Your Content
3.1 Ownership
You retain all right, title, and interest in the photographs and other content you upload to the Service. Nothing in this Agreement transfers ownership of your photographs to ShotCart.
3.2 License to ShotCart
You grant ShotCart a worldwide, non-exclusive, royalty-free license to host, store, transmit, watermark, resize, generate thumbnails of, and deliver your photographs through the Service solely as necessary to operate the Service on your behalf. This license terminates when you delete the photograph or your account, subject to the retention windows described in our Privacy Policy.
License granted to customers.Each successful purchase grants the customer a non-exclusive, worldwide, royalty-free license to the photographer's copyright in the purchased photographs, covering both personal and commercial use as described in the Customer Terms of Service. You acknowledge that customers may use purchased photographs in advertising, branding, product marketing, websites, and similar commercial contexts. You retain copyright in all cases and you continue to control the per-photo pricing through your Service settings — if a particular shoot is likely to be used commercially (a vendor session, a corporate event, headshot work), you can price accordingly.
3.3 Your responsibilities for content
You represent and warrant that:
- You own or have the right to upload, sell, and license each photograph you upload.
- For any photograph depicting an identifiable individual other than yourself, you have either obtained a model release sufficient to authorize commercial use or you have notified the subject that the photograph may be sold through ShotCart and used commercially by the purchaser. ShotCart and customers rely on this representation.
- For any photograph depicting a minor, you have obtained verifiable parental or legal-guardian consent.
- You have obtained any venue release or other permission required by applicable law.
- Your photographs do not violate any third party's right of publicity, privacy, copyright, trademark, or other right.
- Your photographs comply with our Acceptable Use Policy and with Stripe's prohibited and restricted business categories.
4. Pricing, Payment, and Payouts
4.1 You set the prices
You set the prices customers see, subject to the platform's minimum- and maximum-pricing constraints (currently no minimum, no maximum) and to the "free option" limits associated with your plan.
4.2 Platform fee
ShotCart charges a platform fee of fifteen percent (15%) of the pre-tax customer-paid amount on each transaction processed through Stripe under the Free plan. The fee is automatically deducted from the customer's payment before the remainder is routed to your connected Stripe account.
Photographers on a paid Prosubscription pay a monthly subscription fee in lieu of the per-transaction platform fee; while active on Pro, ShotCart's per-transaction fee is zero percent (0%). The current Pro subscription price is $29 per month, billed in advance. ShotCart may change Pro pricing or the Free-tier platform fee on 30 days' notice to existing photographers; photographers in good standing at the time of a future fee or price increase will be grandfathered at the rate they were paying at the time of the change, in accordance with our public grandfather commitment.
4.3 Stripe processing fees
Stripe's standard card-processing fees (currently approximately 2.9% + $0.30 per successful transaction in the United States, subject to Stripe's posted rates) are also deducted from each transaction. ShotCart does not control these fees.
4.4 Sales tax
You are responsible for determining whether photography services and digital downloads are taxable in your state and for collecting and remitting any required sales tax. If you opt into Stripe Tax through Settings → Payouts → Sales Tax, ShotCart will pass automatic_tax with liability assigned to your Stripe account on every transaction, and Stripe will compute, collect, and remit on your behalf against your own Stripe Tax registrations. The Stripe Tax fee (approximately 0.5% per taxable transaction) is billed to your Stripe account, not to ShotCart.
4.5 Payouts
Stripe controls the payout schedule and method based on the settings on your connected account. ShotCart does not hold your funds: the platform fee is taken at the moment of transaction and the remainder accrues directly to your Stripe balance.
4.6 Refunds and disputes
When you issue a refund through the Service or when a customer successfully disputes a charge, the full customer-paid amount (less Stripe's non-refundable processing fees as applicable) is returned to the customer. ShotCart will refund or reverse its platform fee on successful refunds. For chargebacks, you remain financially responsible for the disputed amount; see Section 7.
4.7 ShotCart's right to recoup losses
Recoupment from future payouts. You agree that ShotCart may set off, withhold, or reverse all or part of any payout owed to you, and may instruct Stripe to do the same, to recover (a) chargebacks, refunds, or disputed amounts for which you are responsible; (b) platform fees, subscription fees, or Stripe fees we have advanced or absorbed on your behalf; (c) amounts owed to us under any indemnification obligation in this Agreement; and (d) any other amount you owe ShotCart under this Agreement or applicable law. This right of recoupment survives termination of this Agreement and your account. If your account balance is insufficient to cover an amount we are entitled to recoup, you agree to pay the deficiency within 30 days of our written demand.
5. Acceptable Use and Content Restrictions
You will comply with our Acceptable Use Policy at shotcart.app/acceptable-use, which mirrors Stripe's prohibited and restricted business categories. In particular, and without limitation, you will not use the Service to:
- Sell content prohibited or restricted by Stripe's posted business list (including categories Stripe treats as adult or sexual content). ShotCart processes through Stripe Connect; Stripe's list controls regardless of local legality.
- Photograph or distribute images of any minor without verifiable parental or guardian consent and compliance with applicable child-protection laws.
- Upload content that infringes a third party's copyright, trademark, right of publicity, or right of privacy.
- Engage in unlawful, fraudulent, or deceptive practices.
6. Stripe Connect
To accept payments you must onboard onto Stripe Connect Express and accept Stripe's Connected Account Agreement and Stripe Services Agreement. Stripe is the merchant of record for card processing and is your direct counterparty for payment-processing services. ShotCart is not responsible for Stripe's decisions to hold reserves, freeze funds, or close a connected account, but we will provide reasonable support in working with Stripe to resolve those issues.
7. Liability for Losses
As the Connect platform, ShotCart bears ultimate financial responsibility to Stripe for negative balances on connected accounts. You agree that:
- You are responsible for the underlying customer relationship and for resolving disputes that arise from it.
- You will respond promptly to dispute notifications and provide evidence (delivery confirmations, customer communications, model releases, etc.) so we can defend chargebacks on your behalf.
- If ShotCart pays any amount to Stripe or to a customer to cover a loss attributable to your account, that amount is immediately due back to ShotCart, subject to recoupment under Section 4.7.
- ShotCart may, at its discretion, hold a reasonable reserve from your payouts during periods of elevated dispute risk (for example, a sudden volume spike, a refund rate exceeding industry norms, or a credible fraud signal). We will release reserves as the risk window passes.
8. Indemnification
You will indemnify, defend, and hold harmless ShotCart, Kind Reaper Development LLC, and their officers, directors, employees, agents, and contractors from any claim, demand, loss, liability, damages, fines, penalties, or expense (including reasonable attorneys' fees) arising out of: (a) photographs or other content you upload to the Service; (b) your photography services or your relationship with your customer; (c) your breach of this Agreement, the Acceptable Use Policy, the Stripe Connected Account Agreement, or applicable law; or (d) any tax, withholding, or remittance obligation that is yours under applicable law.
9. Suspension and Termination
9.1 Termination by you
You may terminate this Agreement at any time by deleting your account at Settings → Danger Zone. Deletion follows the soft-delete and retention procedures described in our Privacy Policy. You remain responsible for any obligations that arose before deletion (including any negative balance recoupment).
9.2 Termination or suspension by ShotCart
ShotCart may suspend or terminate your account, with or without prior notice, if we reasonably determine that you have (a) violated this Agreement, the Acceptable Use Policy, or Stripe's Connected Account Agreement; (b) created risk for the platform or for your customers; (c) failed to respond to support, fraud, or compliance inquiries within a reasonable time; (d) become subject to a credible third-party claim that requires immediate action; or (e) over a sustained period (typically three consecutive months or more) generated platform costs that materially and consistently exceed the fees and subscription revenue collected from your account, including cases in which a Pro subscription is insufficient to offset the costs your activity imposes on the platform. Before terminating under (e), ShotCart will use commercially reasonable efforts to offer you a custom commercial arrangement (such as a volume-tier subscription or a per-account cost adjustment) that would make your continued use viable; termination under (e) will follow only if no workable arrangement can be agreed. We will provide notice and remediation guidance where reasonably possible for all grounds.
9.3 Effect of termination
On termination, your right to upload new content ends; existing customer galleries remain available through their natural expiration unless ShotCart determines otherwise for safety or compliance reasons. ShotCart's recoupment rights, your indemnification obligations, and all dispute-resolution and limitation-of-liability provisions survive termination.
10. Disclaimers
The Service is provided "as is" and "as available." ShotCart disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. ShotCart does not guarantee any specific volume of customers, transactions, or revenue.
11. Limitation of Liability
To the maximum extent permitted by law, ShotCart's aggregate liability to you for any claim arising out of or relating to this Agreement or the Service will not exceed the greater of (a) the platform fees and Pro subscription fees you paid ShotCart in the 12 months preceding the claim or (b) one hundred U.S. dollars ($100). ShotCart will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or lost data.
12. Confidentiality and Customer Data
Customer email addresses and order details you obtain through the Service are confidential and may be used only to deliver and support the related order. You may not export or use customer contact information to market unrelated services or to compete with ShotCart.
13. Independent Contractor Status
You are an independent operator. Nothing in this Agreement creates an employment, agency, partnership, joint-venture, or franchise relationship between you and ShotCart. You are solely responsible for your own taxes (income, self-employment, and applicable sales tax), insurance, business licenses, and equipment.
14. Changes to This Agreement
ShotCart may modify this Agreement from time to time. We will notify you of material changes at least 30 days in advance via email to the address on file. Continued use of the Service after a modification takes effect constitutes acceptance. Modifications to platform fees and Pro subscription pricing are also subject to our grandfather commitment described in Section 4.2.
15. Governing Law and Disputes
This Agreement is governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts.
16. Miscellaneous
- Entire agreement. This Agreement, together with the Privacy Policy, the Acceptable Use Policy, the DMCA Policy, and the Stripe Connected Account Agreement, is the entire agreement between you and ShotCart on this subject.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment. You may not assign this Agreement without our written consent. We may assign it in connection with a sale, merger, or reorganization on notice to you.
- Notices. ShotCart will give notices by email to the address on file or by posting to the Service. You give notice to ShotCart at appsupport@shotc.art.
